I've seen many companies incorporated in states other than where their headquarters are located. Delaware seems to be a popular business incorporation state. When should a company incorporate in a different state and what states are best?

It does seem that everyone that I have ever spoken to about incorporating a business always recommends incorporating in Delaware. According to start-up business lawyer Ryan Roberts, there are five reasons to pick Delaware if you want to get incorporated. He states that some people pick that state because of legal reasons. One of them being that a judge presides over the business cases instead of a jury.
