There are a number of issues that you need to resolve - What is the purpose of the non-profit, how does it serve the community, who are the officers of the company, etc. I found a paralegal who specialized in this information and it was worth every penny...
Oh... it's really expensive to start up a non-profit. I spent around $3000 just for the paperwork and fees.
How do you RUN a non-profit... just like a normal corporation... only you live in a fishbowl.
By the way, my biggest advice: Do NOT mix profit with non-profit. If you're selling items, make sure it's DIRECTLY related to the business and you give away quite a few. If the government even THINKS you are behaving like a profit-based business, they come down on you like the hand of god...

Ditto, drmatt, on the CDP programs. They operate out of an alias of National Heritage Foundation, the perennial IRS target and recent Chapter 11 bankruptcy. Oceangrand gets paid a kickback for referrals to NHF.

And... in doing more research... If you look at Ocean Grand's website, it says:
The cost to set up a 501c3 organization through the IRS is $1150 for all the following plus filing fees:
* Articles of Incorporation (nonprofit)
* Bylaws
* Federal Employer Identification number
* Predrawn minutes
* IRS 1023 nonprofit application
The $285 is for the CDP program. This is a 501c3 PROJECT, not corporation. I have no knowledge of that methodology.
At Ocean Grand http://www.oceangrand.org they start them for $285 complete.
@drmatt just because you are unfamiliar with the easiest way to set up and run a nonprofit does not mean it doesn't work. We have over 10,000 nonprofits around the world. They are doing just fine and did not have to spend a ton of cash to get set up

Yeah... I find $285 to be suspect, but I could be wrong. Just make sure you find someone with knowledge and experience. Do your research...
