But really, it is as bloody and expensive as you want to get into it--you can can bring suits based on copyright infringement, conversion, fraud, and false pretenses. If you had a contract of some kind, then there is possible breach of contract suit as well.
You can demand the return of your website as well as a portion of the profits the other party made through modifying your original code. Failing all that, you can file for an injunction which will shut down the site until either the suit is complete, or until you allow content back up.

I am not sure about the rating, but the longer it has been around, the more hits it typically starts to get, making it rise in the search engine hits.
More advice....hmmm...that really and truly depends on what exactly do you want.
If you want a piece of her profit, sue for breach of contract and her unauthorized theft of your intellectual property.
If you want the website, that may be unlikely, but bring an injunction to prove ownership--you can try to maybe accused her of cyber squatting if the situation warrants it.
You can also be sneaky, file a formal US trademark on her site through the USPTO, and then accuse her of using YOUR ideas, since they were actually formally registered.

Thanks so much for replying to my post!
It's registered in her name. She registered it in 08 it has a number 2 ranking and 95% relevancy rate. She has, as of today, started to populate the page with her content. I've heard the older the website the better it does in rating. Is this true? I'm heartbroken, further more, I have all my blogs linked to the site which have the same name. Any other advice you can give me, or a curse or something ; )
I feel extremely frustrated by this thief.
