Depends on if you hope to become 501c3 (tax deductible) compliant or just exist as a non-profit in the sense that you are not building a nest egg of money for the sake of making a profit.
Non-profits can make money, and can, in a strange way, have profit, but as a rule, they have to invest that money back into themselves. Also factors to consider is how the company is going to raise money. If you solicit donations, you may have to register additional licenses, etc.
Generally the basic method is to a) Determine the structure of the business (corporation or non, etc) b) Establish working bylaws or business rules c) Register the business in the State of choice d) Register additional licenses if the state requires e) hit the IRS website to get info on the NPO paperwork necessary, and start that process, as well as get a business ID and so on.
The below is an excerpt from the Washington State Dept. of Licensing:
Nonprofit Corporation
A Nonprofit Corporation is a legal entity and is typically run to further an ideal or goal rather than in the interests of profit. Many nonprofits serve the public interest, but some engage in private sector activities. If your nonprofit organization is, or plans to, raise funds from the public, it may also be required to register with the Charities Program of the Washington Secretary of State. Charitable activities may require additional registration. Contact the Office of the Secretary of State for more information.
