I would definitely hit the American Museum of Natural History which includes the Rose Center for Earth and Space. You can spend an entire day there and, depending on his interest, probably more than one. If you are tight for money and you skip the shows and special exhibits, remember that admission is a suggested donation.
Given his technological bent, I would also go to the Sony Wonder Technology Lab. I haven't personally been there, but have heard great things about it. Admission is free but it is very popular, so if you are interested please contact them ASAP as you can reserve admission in advance.
If he is into gaming at all, the Nintendo World Store is cool. They periodically have events at the store. My kids (12 and 15) love going and hanging out there.
I am not sure what your transportation will be like, but if you wanted to totally geek out on the trip I would also hit the Liberty Science Center (Liberty State Park in NJ) and the NY Hall of Science (Queens). You can get there using public transportation, but it will be a bit of an adventure.
Now, if you want to mix it up again, try the Metropolitan Museum of Art. You might be thinking Art, tween boy? Nah! But the Met, also a suggested donation, has a magnificent Egyptian exhibit and a beautiful Arms and Amor exhibit. I took my cub scout pack to the Arms and Armor exhibit and they didn't exactly want to leave when it was time.
You of course have the traditional Statue of Liberty and Empire State Building. If you want to explore history, Ellis Island has a wonderful museum too. The statue and Ellis can be done together, but there is a limited access, so you need to get passes early. If you decide to got there and have time or when you go to the NYSE, you could also hit the National Museum of the American Indian. It is a little gem of a museum and free as it is part of the Smithsonian.
There are plenty of other places, especially if you have specific interests. But I think that these are some of the good ones for kids. I have links for each of the places below. Have fun.

From personal experience, I would suggest these essentials (most of these are FREE; you could add more as you have time):
-Top of the Rock (rooftop tour of Rockerfeller Center; highlight of the city in many reviews: http://www.topoftherocknyc.com/welcome/default.aspx)
-Metropolitan Museum of Art (open 9:30 am to 9 pm on Fri; 1000 Fifth Ave at 82nd St)
-Bryant Park
-Grand Central Terminal
-Trump Tower (inside)
-Times Square (very cool at night or dusk)
-Central Park (walk from one end to the others; it's long, but a very interesting walk)
-5th Ave and or Madison Ave (tons of amazing shops like the NBA store, etc. - very much larger-than-life)
-Museum of Modern Art
-Ground Zero (great for night; tie it in with Staten Island Ferry ride, which, at night, is amazing because the city is all lit up)
-Empire State Building
-Brooklyn Bridge (worth being able to say you walked it)
-Statute of Liberty (history!)
-Chinatown (culture!)
Any number of great restaurants

What should I do in New York City with my 12 year old son for Spring Break April 3 - 7, 2009?
My son loves theatre, comedy and magic shows. We are going to New York to see the NY Stock Exchange since he did a project on the great depression and the NY Stock Exchange for his 5 th grade project. He is in 9th grade algebrae Math class despite being a 6th grader in middle school. He is a technology prodigy using Windows 7 beta and an avid video editor and now doing Alice.org programing for animation.

I wouldn't take my kids to the Comedy Club or Improv. Broadway is always good, but rather expensive. If he is into Disney, there are a number of Disney shows on Broadway and the 'Lion King' is fabulous. However, most 12 year old boys that I know are not that into the theater. I also am not familiar with any Magician shows, so I can't really comment.
