The answer to this is always sometimes! Sometimes a mature company will acquire a business for the talent that the company has, or they will even acquire a business, just so they won't compete with them, or reason might be to acquire trade secrets or intellectual property (brands, patents, and trademarks), or even customers. The reason for acquisitions always varies on the company. It's not always wasteful. Look at Amazon.com, they just acquired Zappos.com. They didn't need to, both of these companies could have existed without each other, but Amazon saw a need for this company, they now no longer need to compete with Zappos. This acquisition will certainly increase share holder value. Was it a waste for Amazon.com? I highly doubt it, as in the long run it will help grow Amazon.com.

In Amazon acquistion of Zappos, did Amazon layoff employees, retire resources, and consolidate? Is this not wasteful?
