Provided the system requirements for Windows Vista are met, upgrading to Vista should be the same process as on the physical system.
Your current operating system (which I assume is XP) has different system requirements compared to Windows Vista.
Please check the following link for how much resources you should allocate for the Virtual Machines.

From there, it's just as simple as "booting" the CD (by mounting the CD first) then proceed with the installation process.
