I'm going to make a lot of assumptions here: Largest of which is that your in the US, and your using AT&T.
To check your upgrade availability on your account, dial *639#. AT&T will send you a text message articulating when you are eligible for upgrade. The upgrade date is largely based on the amount of your bill, how well you paid it, when you signed your contract, and how long into your contract you have paid. However this information is only related to the discount that you can receive on a new 3GS phone when you extend your contract. It's my understanding you can choose to pay full amount for the 3GS from either AT&T or Apple.
I assume that the restrictions are in regards to your upgrade eligibility, and not to your ability to upgrade if you want to. Technically you can hop onto e-bay and upgrade yourself without anybodies approval.

can someone please explain to me why it is that I cannot upgrade to the iPhone 3Gs if I chose to do it? Why are they restricting me

You can go into the settings and disable the data functions, but I don't trust the phone. I think it still leaks data across the cell network.
