Freezing rain starts in an area with warm air, falls through an area of cold air and freezes upon impact with the ground. It only occurs if the drops fall through the cold air long enough to cool them down to a freezing temperature but before the drops are actually frozen. The chart on this link shows the relative range that freezing rain will occur, roughly 32-24 degrees celsius.

According to HowStuffWorks, freezing rain forms when rain freezes as it falls to earth (snow forms when the particles freeze before falling). The freezing point remains the same, but it's the point at which the precipitation encounters freezing temperatures that changes its form.
