I had got the same exactly same problem. I was using gigabit motherboard.
I had done manything even changed the RAM and power system but result is nothing.At last I needed to change my whole motherboard. Now I am using VIA motherboard.
So I will suggest you immediately take your pc to a experienced technician.You can try pc cleaning. Can you clean the RAM slot and the RAM? then start you pc again. See what is going on then. You also can try to boot your XP onetime.
If all are failed then run away to the technician with your PC.

Make sure all the fans are working. There's one over the CPU, the graphics card and near the power supply.
Start up in Safe Mode by holding down the F8 key. Try reverting to your last Restore Point.
Try booting up from a CD with your Windows Disc. If that works select repair.
If not, take it in for repair.
P3 processors are very out of date so unless you're running only out of date software it's time to get a new computer.
Or install Linux.

Open your case and clean out the dust with forced air. Make sure all the fans are working. There's one over the CPU, the graphics card and near the power supply.
